Can I Be My Own Registered Agent in Delaware?

Yes, you can serve as your own registered agent if you are a Delaware resident. Under 6 Del. C. § 18-104, an individual Delaware resident is eligible to serve as a registered agent for an LLC or other business entity. You must maintain a physical street address in Delaware where legal documents can be served.

Who Qualifies

Delaware law permits these categories to serve as registered agents under 6 Del. C. § 18-104:

  • Individual Delaware residents (including you, if you meet this requirement)
  • Domestic or foreign entities authorized to do business in Delaware
  • LLC members who satisfy residency or authorization requirements

Key Requirements

Residency. You must be a Delaware resident. Non-residents cannot serve as their own registered agent and must appoint a Delaware resident or authorized entity.

Physical address. Your registered agent address must be a physical Delaware location where you can receive documents during business hours. P.O. boxes do not satisfy this requirement.

Written consent. You must consent to serve as registered agent. Include your name and Delaware address on your Certificate of Formation, or file a separate consent form with the Delaware Division of Corporations.

What This Means

As your own registered agent, you personally receive service of process, tax notices, and legal documents. You're responsible for timely receipt and forwarding materials to your business. Missing deadlines for responses could jeopardize your company.

Your registered agent address becomes public record and appears on all official filings with the Delaware Division of Corporations.

Changing Your Agent Later

If you relocate outside Delaware or prefer professional handling, you can change agents by filing a Change of Agent form with the Delaware Division of Corporations. The filing fee is $50.00. File online at https://icis.corp.delaware.gov/eCorp/.
