Can I Be My Own Registered Agent in North Carolina?
Yes, you can serve as your own registered agent if you meet North Carolina's requirements. Under N.C.G.S. § 55D-30, you must be a North Carolina resident whose business office is identical to your LLC's registered office address. A physical street address is required—PO Boxes and virtual offices do not qualify.
Eligibility Requirements
To serve as your own registered agent, you must:
- Be a North Carolina resident. Out-of-state owners cannot serve as registered agents.
- Maintain a physical business office. Your office address must match exactly with your registered office address on file with the Secretary of State. N.C.G.S. § 55D-31 requires this alignment.
- Provide written consent. You must consent to serve as registered agent when filing your Articles of Organization.
Members of your LLC can serve as registered agents if they meet these requirements.
What Does Not Qualify
You cannot use a home address unless it is your actual business office. PO Boxes, mailbox rental services, and virtual office addresses do not satisfy North Carolina's physical address requirement. The North Carolina Secretary of State cannot serve as your registered agent.
How to Designate Yourself
Include your registered agent information in your Articles of Organization when you file with the North Carolina Secretary of State. File online at https://www.sosnc.gov/online_filing/filing/creation or by mail. Your registered agent's physical address must be identical to your registered office address.
Changing Your Registered Agent
If you later hire a professional registered agent, file the Limited Liability Company's Statement of Change of Registered Agent and/or Registered Office with the Secretary of State. The filing fee is $5.00.
The new registered agent (whether an individual or entity) must consent to the appointment before you file.
