Can I operate in New Jersey with an out-of-state LLC?

Yes. Out-of-state LLCs may conduct business in New Jersey by registering as a foreign LLC with the New Jersey Department of the Treasury, Division of Revenue and Enterprise Services. Registration requires filing a Certificate of Registration, paying a $125 filing fee, and appointing a registered agent with a New Jersey street address.

Registration Requirements

File a Certificate of Registration for a Foreign LLC through the NJ online portal at https://www.njportal.com/DOR/BusinessFormation/Home/Welcome. The $125 registration fee is non-refundable. You do not need a Certificate of Good Standing from your home state.

Under N.J.S.A. 42:2C-14 and N.J.S.A. 42:2C-15, you must appoint a registered agent—either an individual or business entity in good standing in New Jersey. The agent's office must use a physical New Jersey street address; PO boxes are not acceptable. A member of your LLC may serve as registered agent.

Annual Compliance

File an annual report each year with a $75 fee to maintain active status. If you change your registered agent or office address, submit Form L-122 (Certificate of Change of Registered Office and/or Registered Agent) with a $25 fee and written consent from the new agent.

To withdraw from New Jersey, file a withdrawal form and pay a $125 withdrawal fee.
