Can I operate in Wyoming with an out-of-state LLC?

Yes, you can operate in Wyoming with an out-of-state LLC by registering as a foreign LLC. File an Application for Certificate of Authority with the Wyoming Secretary of State, pay a $150 registration fee, maintain a registered agent with a physical Wyoming address, and file annual reports. Registration is required before conducting business in the state under Wyo. Stat. §§ 17-28-101 to 17-28-111.

Registration Requirements

Submit your Application for Certificate of Authority online at https://wyobiz.wyo.gov/Business/Default.aspx or by mail to the Wyoming Secretary of State, Herschler Building East, Suite 101, 122 W 25th Street, Cheyenne, WY 82002-0020. The filing fee is $150.00. Include a Certificate of Good Standing from your home state with your application. Contact (307) 777-7311 to check processing status.

Registered Agent Requirement

Wyoming requires a registered agent under Wyo. Stat. § 17-29-113. Your agent must be a Wyoming resident individual or a domestic/foreign business entity authorized to do business in Wyoming, with a physical Wyoming registered office address. A member of your LLC may serve as registered agent. The Secretary of State cannot serve as your agent.

Ongoing Compliance

File an annual report each year with a $60.00 fee to maintain your registration. If you change your registered agent, file the Appointment of New Registered Agent and Office form with a $5.00 fee and written consent from the new agent. To withdraw from Wyoming operations, file for withdrawal and pay a $60.00 fee.
