Does Georgia Have a State-Level BOI Requirement?

No. Georgia does not impose a state-level Beneficial Ownership Information (BOI) requirement. Georgia LLCs must instead comply with the Annual Registration requirement under O.C.G.A. § 14-11-603, which requires disclosure of the LLC's registered agent, principal office address, and filing contact information—but not beneficial ownership details. Federal BOI reporting to FinCEN may apply separately.

What Georgia Actually Requires

Every Georgia LLC must file an Annual Registration between January 1 and April 1 each year. The $60 filing fee applies, and you can submit online at https://ecorp.sos.ga.gov/Account.

Required information includes:

  • LLC control number or exact legal name
  • Name and valid email of the person filing
  • Registered agent name and Georgia physical street address
  • Principal office mailing address

This state-level filing focuses on entity contact and agent information, not beneficial ownership.

Penalties for Missing the Deadline

A $25 late-filing penalty applies if you miss April 1. You have a 60-day grace period after notice from the Secretary of State to cure. Failure to file within that window results in administrative dissolution of your LLC or revocation of a foreign LLC's authority.

Reinstatement costs $260 plus all delinquent annual registration fees and penalties. You must apply for reinstatement within five years of dissolution.

Federal BOI Requirements Apply Separately

While Georgia has no state BOI requirement, federal BOI reporting under the Corporate Transparency Act (31 U.S.C. § 5336) may apply to your business. FinCEN (Financial Crimes Enforcement Network) requires most entities to report beneficial ownership information. This is a separate, federal obligation—not a Georgia state requirement.

Beneficial owners are individuals with 25% or greater ownership interest or substantial control. Entities formed before January 1, 2024, must report by January 13, 2025; entities formed after that date must report within 30 days of formation. File BOI reports directly with FinCEN at www.fincen.gov, not with Georgia.
