Does New Jersey Have a State BOI Requirement?

No. New Jersey does not impose a separate state-level Beneficial Ownership Information (BOI) filing requirement. LLCs must file annual reports under N.J.S.A. 42:2C-26 containing entity and registered agent information, but not beneficial ownership details. Federal FinCEN BOI reporting under 31 U.S.C. § 5336 may apply separately to your business.

What New Jersey Actually Requires

All New Jersey LLCs must file an Annual Report by the last day of the anniversary month each year (N.J.S.A. 42:2C-26). The $75 filing fee covers:

  • Business name and state business ID
  • Business mailing address
  • Employer identification number (EIN)
  • Registered agent name and contact information
  • Principal business address

This state-level filing maintains accurate business records but does not constitute beneficial ownership reporting.

Federal BOI vs. State Requirements

While New Jersey has no state BOI mandate, the federal FinCEN BOI Rule may apply to your LLC. Under 31 U.S.C. § 5336, most business entities must report beneficial ownership information directly to FinCEN, not to New Jersey. Federal deadlines and exemptions apply regardless of state law.
