How to Change Your LLC Name in New Jersey

Q: How do I change my LLC name in New Jersey?

A: File a Certificate of Amendment with the New Jersey Division of Revenue and Enterprise Services. Your new name must include LLC, Limited Liability Company, or L.L.C., be distinguishable from other active entities under N.J.S.A. 42:2C-8, and avoid restricted words like Bank, Trust, or Insurance. File online at https://www.njportal.com/DOR/BusinessFormation/Home/Welcome or by mail. Processing takes 5–10 business days.

Filing Your Amendment

Search the business database at https://www.nj.gov/treasury/revenue/checkbusiness.shtml to verify your new name is available and distinguishable from existing records.

Submit your Certificate of Amendment through the online portal or mail to:

New Jersey Department of the Treasury
Division of Revenue and Enterprise Services
PO Box 308, Trenton, NJ 08646-0308

Include your LLC's current legal name, the new name, and authorization signature. The Division will process your amendment and issue a new Certificate of Formation reflecting the name change.

Name Requirements

Your new LLC name must:

  • End with LLC, Limited Liability Company, or L.L.C. (N.J.S.A. 42:2C-8)
  • Be distinguishable from all active or reserved entity names in state records
  • Avoid restricted words: Bank, Trust, Insurance, or terms implying state/federal agency affiliation

After the Name Change

If you operate under a trade name different from your legal LLC name, file a DBA (Doing Business As) with the Division of Revenue for $50.00.

Update all business records: operating agreement, bank accounts, business licenses, insurance policies, and tax registrations with the IRS and New Jersey Department of Revenue.
