To change your LLC name in Texas, file an amended certificate of formation with the Texas Secretary of State. Your new name must include the required LLC designator (Limited Liability Company, LLC, or L.L.C.), be distinguishable from all existing entity names on file, and avoid restricted words like Bank, Trust, Insurance, University, or College under Tex. Bus. Org. Code § 5.053 and § 5.054.

Step 1: Verify Name Availability

Search the Texas Secretary of State database at https://www.sos.state.tx.us/corp/sosda/index.shtml to confirm your desired name is distinguishable from existing entities and complies with naming requirements. This search is free and required before filing.

Step 2: File Amended Certificate of Formation

Submit an amended certificate of formation through the Secretary of State's online filing system at https://www.sos.state.tx.us/corp/sosda/index.shtml or by mail to P.O. Box 13697, Austin, TX 78711-3697. Include your LLC's current name, the new name with the required designator, and the effective date of the change. Pay the applicable filing fee.

Step 3: Update DBA Registration (If Applicable)

If your LLC operates under a doing-business-as (DBA) name, file Form 503 with the Secretary of State ($25.00 fee) to update your DBA registration to match your new LLC name.

Step 4: Update Business Records

Amend your operating agreement and update all business records, bank accounts, licenses, contracts, and vendor registrations to reflect the new name.
