How Do I File an Annual Report for My LLC in Illinois?

File your annual report before the first day of your LLC's anniversary month each year through the Illinois Secretary of State's online portal at https://apps.ilsos.gov/llcarticles/index.jsp. The $75 filing fee is due with submission. Include your LLC's legal name, file number, jurisdiction of organization, principal place of business, manager and member information, and registered agent details. Missing the deadline triggers a $100 late penalty after 60 days and administrative dissolution after 120 days of non-filing.

Filing Requirements

Under 805 ILCS 180/50-1 and 805 ILCS 180/50-5, your annual report must include:

  • LLC legal name and file number
  • Jurisdiction of organization
  • Principal place of business or records office address
  • Names and business addresses of all managers and members with manager authority
  • Registered agent and registered office information (if separately maintained)

File online at the Secretary of State's portal or mail to 501 S. Second St., Rm. 350, Springfield, IL 62756, or 69 W. Washington St., Ste. 1240, Chicago, IL 60602. Contact the Department of Business Services at (217) 524-8008 for assistance.

Critical Deadlines

Your first annual report is due before the first day of your anniversary month in the year after formation. Subsequent reports are due annually on the same schedule.

Late Penalties:

  • $100 penalty if filed within 60 days after the due date
  • Administrative dissolution or revocation if unfiled 120 days from the original due date

Reinstatement

If your LLC is administratively dissolved, reinstatement requires filing a reinstatement application, paying a $200 reinstatement fee, and paying all delinquent annual report fees and penalties. Act quickly—dissolution becomes possible 120 days after the missed deadline.

Next Steps

Mark your anniversary month on your calendar. Verify your LLC's current status using the Secretary of State's business entity search at https://apps.ilsos.gov/businessentitysearch/. File your report online to avoid penalties and maintain good standing.
