How to File an Annual Report for Your Texas LLC

Texas LLCs must file a Public Information Report (PIR) annually with the Texas Comptroller by May 15. There is no filing fee. File online at https://www.sos.state.tx.us/corp/sosda/index.shtml. Your first report is due May 15 of the year following formation. Include your principal office address, principal place of business, names and addresses of all managers or members, SOS file number, and registered agent information. Missing the deadline triggers a $50 penalty plus additional penalties and interest.

Filing Requirements

Your annual report is due May 15 each year to the Texas Comptroller of Public Accounts under Tex. Bus. Org. Code § 11.251. There is no filing fee. Your first report is due May 15 of the year immediately following your LLC's formation.

Required Information:

  • Principal office address
  • Principal place of business
  • Names and addresses of all managers or members
  • SOS file number
  • Registered agent information

File online through the Secretary of State's SOSDA portal for fastest processing. Online filing is the standard method.

Late Filing Penalties

Do not miss the May 15 deadline. Texas imposes strict penalties:

  • $50 flat penalty per late report
  • 5% additional penalty if paid 1–30 days late
  • 10% additional penalty if paid over 30 days late
  • Interest accrues after 61 days

There is no grace period. Penalties apply automatically.

Consequences of Delinquency

If your report remains delinquent, the Comptroller may forfeit your LLC's right to transact business. The Secretary of State may then involuntarily terminate your entity.

Reinstatement requires:

  1. Filing all delinquent reports
  2. Paying all taxes, penalties, and accrued interest
  3. Obtaining a tax clearance from the Comptroller
  4. Filing a reinstatement application with the Secretary of State ($75 fee)
