How do I get a certificate of good standing in Georgia?

Contact the Georgia Secretary of State, Corporations Division, to verify your LLC's good standing status. Search your business for free at https://ecorp.sos.ga.gov/BusinessSearch or call (404) 656-2817. Your LLC must be current on annual registration filings (due January 1–April 1 annually, $60 fee) with no delinquencies or administrative dissolution under O.C.G.A. § 14-11-603.

How to Verify Good Standing

Georgia does not issue a separate certificate document. Instead, use the Secretary of State's free business search at https://ecorp.sos.ga.gov/BusinessSearch. Enter your LLC's name or control number. The results confirm whether your entity is active and current on filings—this serves as proof of good standing for lenders, vendors, and government agencies.

Eligibility Requirements

Your LLC qualifies for good standing status if it meets these conditions:

  • Current annual registration: File between January 1 and April 1 each year ($60 filing fee). First report is due the year after formation or qualification in Georgia.
  • No delinquencies: Pay all annual registration fees and any $25 late-filing penalties.
  • Active status: Your business cannot be administratively dissolved or have its authority revoked.

If you missed an annual registration deadline, the Secretary of State sends notice and may administratively dissolve your entity within 60 days. You can reinstate within five years by paying a $260 reinstatement fee plus all delinquent fees and penalties.

If Your LLC Is Delinquent

File your overdue annual registration immediately at https://ecorp.sos.ga.gov/Account and pay the $25 late-filing penalty. If already administratively dissolved, file a reinstatement application and pay the $260 reinstatement fee plus all outstanding obligations.
