How Do I Get a Certificate of Good Standing in New Jersey?
Contact the New Jersey Department of the Treasury, Division of Revenue and Enterprise Services at (609) 292-9292 or through their online portal at https://www.njportal.com/DOR/BusinessFormation/Home/Welcome. Your business must be current on all annual reports filed under N.J.S.A. 42:2C-26 to qualify. Processing typically takes 5–10 business days.
Eligibility Requirements
Your business qualifies for a certificate of good standing only if:
- All annual reports are filed and current (due by the last day of your anniversary month each year under N.J.S.A. 42:2C-26)
- Your business is not on inactive status or subject to revocation
- No delinquent filings exist
If you've missed two consecutive annual reports, New Jersey may place your entity on the inactive list or revoke your authority. You must file all delinquent reports and pay the $75 reinstatement fee before requesting a certificate.
How to Request
By Phone: (609) 292-9292
By Mail: PO Box 308, Trenton, NJ 08646-0308 or 33 West State Street, 5th Floor, Trenton, NJ 08608

Provide your business name and New Jersey business ID. The certificate confirms your entity is in good standing and authorized to conduct business in the state.
Why You Need It
Certificates of good standing are required for:
- Opening business bank accounts
- Applying for loans or credit
- Entering into contracts with other entities
- Qualifying for government contracts
The certificate is valid only as of the date issued. If your business status changes, you'll need a new certificate.
Before You Request
Verify your current filing status using the Business Name Search at https://www.njportal.com/DOR/BusinessNameSearch/Search/BusinessName. If filings are delinquent, file the missing annual reports immediately to restore good standing status. Contact the Division to confirm current fees and processing times for your request method.
