How Do I Get a Certificate of Good Standing in North Carolina?

Q: How do I get a certificate of good standing in North Carolina?

Contact the North Carolina Secretary of State, Business Registration Division, at (919) 814-5400 or submit a request through their online portal at https://www.sosnc.gov/online_filing/filing/creation. Your LLC must have filed all annual reports by April 15 each year, paid all fees ($203.00 annually), and have no grounds for administrative dissolution under N.C.G.S. § 57D-6-06.

Eligibility Requirements

Your LLC qualifies for a certificate of good standing only if:

  • All annual reports have been filed and fees paid ($203.00 per year under N.C.G.S. § 57D-2-24)
  • Your entity has not been administratively dissolved or revoked
  • No grounds for dissolution exist under N.C.G.S. § 57D-6-06

If you missed an annual report deadline, you have a 60-day grace period before the Secretary of State may administratively dissolve or revoke your entity. If dissolved, file an Application for Reinstatement and pay the $100 reinstatement fee plus all delinquent annual-report fees to restore good standing.

How to Request

Contact the Secretary of State directly:

Specify that you need a certificate of good standing. The Secretary of State will verify your LLC's status through their business database. Processing times and fees vary; confirm details when submitting your request.

Maintain Good Standing

File your annual report by April 15 each year. Late filings trigger a 60-day grace period; failure to cure within that window results in administrative dissolution or revocation under N.C.G.S. § 57D-6-06. Reinstatement requires additional fees and curing all grounds for dissolution.
