How Do I Register a Foreign LLC in Georgia?
File an Application for Certificate of Authority with the Georgia Secretary of State, Corporations Division. The filing fee is $235.00. You must appoint a registered agent—a Georgia resident or authorized business entity with a physical Georgia street address. File online at https://ecorp.sos.ga.gov/Account or contact (404) 656-2817. Processing typically takes 5–7 business days.
Registration Requirements
Submit your Application for Certificate of Authority to the Georgia Secretary of State. Include your LLC's name, jurisdiction of formation, and registered agent information. Your registered agent must be a Georgia resident individual or a business entity authorized to do business in Georgia under O.C.G.A. §§ 14-11-209 and 14-11-703.
The registered agent's office must be a physical Georgia street address where service of process can be delivered in person—a P.O. Box is not acceptable. A member of your LLC may serve as registered agent. The Secretary of State cannot serve as your agent.
Georgia does not require a Certificate of Good Standing from your home state to register.

Ongoing Compliance
After registration, file an annual report each year with a $60.00 fee per O.C.G.A. § 14-11-922. Failure to file timely may result in administrative dissolution of your authority to do business in Georgia.
Maintain your registered agent at all times. To change your registered agent, file an Amended Annual Registration for a $30.00 fee. To withdraw from Georgia, submit a withdrawal form—there is no withdrawal fee.
