How do I Reinstate a Dissolved LLC in Illinois?

To reinstate a dissolved Illinois LLC, file a reinstatement application with the Illinois Secretary of State, pay the $200 reinstatement fee, and settle all delinquent annual report fees ($75 per year), the $100 late penalty, and any additional delinquency amounts required to restore good standing (805 ILCS 180/50-1, 180/50-5).

Filing Your Reinstatement Application

Submit your reinstatement application online at https://apps.ilsos.gov/llcarticles/index.jsp or by mail to:

Springfield: 501 S. Second St., Rm. 350, Springfield, IL 62756
Chicago: 69 W. Washington St., Ste. 1240, Chicago, IL 60602

Include your LLC's legal name and file number. An authorized manager or member must sign the application.

Required Fees and Penalties

The reinstatement fee is $200. You must also pay:

  • Delinquent annual report fees: $75 for each year the report was not filed
  • Late penalty: $100 (assessed if the annual report was not filed within 60 days of the due date)
  • Additional delinquency amounts: Any other fees the Secretary of State requires

Contact the Limited Liability Division at (217) 524-8008 to calculate your exact total before filing.

When Does Dissolution Occur?

An Illinois LLC becomes administratively dissolved when the annual report remains unfiled 120 days after the due date (805 ILCS 180/50-5). Annual reports are due before the first day of your LLC's anniversary month each year. A $100 penalty applies if filing occurs more than 60 days late.

After Reinstatement

Once the Secretary of State approves your reinstatement application and processes all fees, your LLC is restored to active status and may resume business operations. Verify your LLC's status at https://apps.ilsos.gov/businessentitysearch/.

File your overdue annual reports immediately and maintain compliance by filing future reports before the first day of your anniversary month each year.
