How Do I Withdraw My LLC from California?

File a Certificate of Dissolution with the California Secretary of State. There is no filing fee. Submit the form online at https://bizfileonline.sos.ca.gov/ or by mail to 1500 11th Street, Sacramento, CA 95814. Your LLC's authority to conduct business in California terminates upon filing under Cal. Corp. Code § 17701.05.

Filing Requirements

Submit your Certificate of Dissolution through the Secretary of State's BizFile online system or by mail. Include your LLC's legal name, date of formation, and a statement that the LLC is dissolving. The filing carries no state fee.

Before filing, settle all outstanding obligations:

  • Pay any unpaid annual report fees ($20.00 if due)
  • Resolve California Franchise Tax Board obligations
  • Clear all outstanding liabilities and debts

What Happens After Filing

Once the Secretary of State processes your Certificate of Dissolution, your LLC ceases to exist as a legal entity in California. You lose authority to transact business under your LLC name in the state. Notify your registered agent, creditors, clients, and other relevant parties of the dissolution.

Withdrawal does not dissolve your LLC in its home jurisdiction—you must file separate dissolution documents there if required.
