Delaware Registered Agent Rules

Q: What are the registered agent rules in Delaware?

Delaware requires every LLC to maintain a registered agent with a physical address in the state under 6 Del. C. § 18-104. The agent must be a Delaware resident individual or a domestic/foreign entity authorized to do business in Delaware. Written consent from the agent is required before appointment. The agent receives legal documents and notices on behalf of your business. To change agents, file a Change of Agent form with a $50 fee.


Who Can Serve as Your Registered Agent

Your registered agent must be either:

  • An individual who resides in Delaware, or
  • A domestic or foreign corporation, LLC, limited partnership, or other entity authorized to conduct business in Delaware

Members of your LLC may serve as registered agents. The Secretary of State cannot serve in this capacity.


Key Requirements

Physical Address

Your registered agent must maintain a physical street address in Delaware where legal documents can be delivered during business hours. A P.O. Box does not satisfy this requirement. This address becomes public record.

Written Consent

Before appointing anyone as registered agent, obtain their written consent. This confirms the agent understands their obligations and agrees to serve.

Change of Agent

To replace your registered agent, file a Change of Agent form with the Delaware Division of Corporations and pay a $50 fee. The new agent must provide written consent before the change becomes effective. File online at https://icis.corp.delaware.gov/eCorp/ or by mail.
