Illinois LLC Registered Agent Rules
Q: What are the registered agent rules in Illinois?
A: Illinois requires every LLC to maintain a registered agent with a physical street address in Illinois (805 ILCS 180/1-35). The agent must be either an individual residing in Illinois or a business entity authorized to conduct business in the state. Members can serve as registered agents. The Secretary of State cannot serve in this role. To change agents, file a Statement of Change of Registered Agent and/or Registered Office with a $25.00 filing fee.
Who Can Serve as Registered Agent
Under 805 ILCS 180/1-35, your registered agent must be:
- An individual who resides in Illinois, or
- A business entity authorized to transact business in Illinois
A member of your LLC may serve as registered agent. The Secretary of State cannot serve in this capacity. No prior consent from the agent is required before designation.
Address Requirements
Your registered agent must maintain a physical street address in Illinois where legal documents can be delivered during business hours. P.O. boxes do not satisfy this requirement. This address becomes your registered office address and is where the Secretary of State delivers official notices and service of process.
Changing Your Registered Agent
To change your registered agent or registered office address, file a Statement of Change of Registered Agent and/or Registered Office with the Illinois Secretary of State (805 ILCS 180/1-50). The filing fee is $25.00. No consent from the current or new agent is required.
