What are the registered agent rules in New Jersey?

New Jersey requires every business entity to appoint a registered agent under N.J.S.A. 42:2C-14 and 42:2C-15. The agent must be an individual resident or a business entity in good standing in New Jersey, with a physical street address in the state. Written consent is required, and changes cost $25 using Form L-122.

Who Can Serve as Registered Agent

Your registered agent must be either an individual resident of New Jersey or a business entity duly registered and in good standing in the state. Members of your LLC are eligible to serve. The Secretary of State cannot serve as your registered agent.

The registered office address must be a physical New Jersey street address—PO Boxes are not permitted.

Consent Requirement

Your registered agent must provide written consent before or at the time of appointment. This protects the agent and ensures they understand their obligations to receive legal documents and official notices on behalf of your business.

Changing Your Registered Agent

To change your registered agent or registered office address, file Form L-122 (Certificate of Change of Registered Office and/or Registered Agent) with the New Jersey Department of the Treasury, Division of Revenue and Enterprise Services. The filing fee is $25.00.
