What is the Annual Fee for an LLC in New Jersey?

New Jersey LLCs must file an Annual Report each year for a filing fee of $75.00, due by the last day of the anniversary month under N.J.S.A. 42:2C-26. This is a separate ongoing cost from the initial $125 formation fee. Online filing is available through the state's business portal.

Filing Deadline

Your first annual report is due by the last day of the month in the year after formation that matches your LLC's formation month. For example, if your LLC formed in March, your first report is due by March 31 of the following year, then March 31 annually thereafter.

What the Report Requires

Your annual report must include your business name, New Jersey business ID, business mailing address, Employer Identification Number (EIN), registered agent name and contact information, and principal business address. File online for faster processing (typically 1–5 business days).

Penalties for Missing Filings

Failure to file annual reports for two consecutive years results in inactive status or revocation of authority under N.J.S.A. 42:2C-26. Your LLC loses the legal right to conduct business in New Jersey.

Reinstatement Costs

If your LLC becomes inactive, reinstatement requires filing all delinquent annual reports, paying a $75.00 reinstatement fee, and potentially a $25.00 registered-agent change fee if your agent or office address has changed. Begin reinstatement through New Jersey's online business filing system.

Budget Planning

Beyond the $75 annual report fee, remember:

  • Initial formation fee: $125 (one-time)
  • State income tax: New Jersey imposes graduated Gross Income Tax on LLC income (top rate 10.75%, N.J.S.A. 54A:1-1 et seq.), taxed on a pass-through basis to owners
  • Sales tax: If applicable, register at https://www.nj.gov/treasury/revenue/gettingregistered.shtml

Mark your calendar for the anniversary month each year to avoid penalties and maintain good standing.
