What is the BOI Reporting Requirement for LLCs in Texas?

Texas LLCs must file an annual Ownership Information Report (OIR) with the Texas Comptroller of Public Accounts by May 15 each year. There is no filing fee. The report must include the principal office address, principal place of business, names and addresses of all members and managers, the Secretary of State file number, and registered agent information. First reports are due May 15 of the year following LLC formation.

Filing Details

File online through the Texas Comptroller's website. The deadline is firm—no grace period applies. Reports submitted after May 15 are considered late and trigger penalties immediately. First-time filers must submit their report by May 15 of the year following formation.

Penalties for Late Filing

A $50 flat penalty applies to each late report. Additional penalties accrue based on payment timing: 5% if paid 1–30 days late, and 10% if paid over 30 days late. Interest accrues after 61 days of delinquency, compounding your liability.

Consequences of Non-Compliance

Failure to file by May 15 can result in forfeiture of your LLC's right to transact business in Texas (Tex. Bus. Org. Code § 11.252). The Comptroller may forfeit the entity, and the Secretary of State may involuntarily terminate it following tax forfeiture. This is automatic—no notice period applies.

Reinstatement After Forfeiture

If your LLC loses its right to transact business, reinstatement requires:

  1. File all delinquent OIR reports with the Comptroller
  2. Pay all outstanding taxes, penalties, and accrued interest
  3. Obtain a tax clearance letter from the Comptroller
  4. File reinstatement with the Secretary of State
  5. Pay the $75 reinstatement fee

This multi-step process is more costly and time-consuming than timely compliance.

Federal BOI Reporting

Texas does not have a separate state-level Beneficial Ownership Information (BOI) requirement. However, federal BOI reporting may apply under the Corporate Transparency Act (CTA). Check FinCEN's website to determine if your LLC meets the federal threshold for reporting to FinCEN, not Texas authorities.
