What is the LLC Filing Deadline in Georgia?
Georgia LLCs must file an Annual Registration between January 1 and April 1 each year under O.C.G.A. § 14-11-603. The $60 filing fee is due with each submission. Annual Registration Requirements

Online filing through the Georgia Secretary of State's eCorp portal is the fastest method. You may also file by mail or in person at the Secretary of State's office.
Late Filing Penalties
Missing the April 1 deadline triggers a $25 late-filing penalty. The Secretary of State provides a 60-day grace period after sending notice of noncompliance to cure the violation.
If your LLC remains noncompliant after 60 days, the state may administratively dissolve a domestic LLC or revoke a foreign LLC's authority to conduct business in Georgia. This involuntary termination can severely impact your business's legal standing and operational ability.
Reinstatement After Dissolution
An LLC dissolved for noncompliance may apply for reinstatement within five years of dissolution. Reinstatement requires:
- Filing an application for reinstatement
- Paying a $260 reinstatement fee
- Paying all delinquent annual registration fees and penalties
