Georgia requires a minimum of one member to form and operate an LLC. Under O.C.G.A. § 14-11-204, one or more organizers may establish a limited liability company, meaning a single individual or entity can be the sole owner. Single-member LLCs receive identical liability protection and legal recognition as multi-member LLCs and follow the same formation process.

Formation Requirements

To form your one-member LLC, file Articles of Organization with the Georgia Secretary of State, Corporations Division. The filing fee is $110.00 for standard online processing (approximately 7 business days). Your Articles must include:

  • LLC name with required designator ("LLC," "Limited Liability Company," or "L.L.C.")
  • Organizer's name and address
  • Valid email address for correspondence
  • Principal office mailing address
  • Registered agent name and Georgia address
  • Any optional provisions

Name Availability

Before filing, search the Georgia Secretary of State's business database at https://ecorp.sos.ga.gov/BusinessSearch to confirm your LLC name is distinguishable from existing entities. You may reserve a name for 30 days for $35.00 if you need time before filing.

Organizer vs. Member

Georgia law distinguishes between the organizer (who files Articles) and the member (who owns the LLC). A single person typically serves as both organizer and sole member. Alternatively, one person may organize the LLC while another becomes the sole member—the statute permits this flexibility.

Operating Your Single-Member LLC

As the sole member, you have complete control over management and operations. You may manage the LLC yourself or designate a manager. Georgia permits foreign owners, so non-U.S. citizens can form single-member LLCs.
