North Carolina LLC Minimum Members Requirement

What is the minimum number of members for an LLC in North Carolina?

North Carolina requires a minimum of one member to form an LLC. Under N.C.G.S. § 57D-2-20, "one or more persons may form a North Carolina LLC," meaning single-member LLCs are fully permitted and recognized under state law. You do not need multiple owners or co-founders to establish a valid LLC.

Formation Requirements

When filing your Articles of Organization with the North Carolina Secretary of State, you must identify each person executing the articles and specify whether they act as a member, organizer, or both. A single founder can serve in either or both capacities simultaneously. The filing fee is $125.00 for standard processing (10–15 business days). Expedited options are available for $100 (24-hour service) or $200 (same-day service if submitted by noon).

Your Articles must include:

  • Your LLC name with required designator (LLC, L.L.C., or Limited Liability Company)
  • Your name and address
  • Registered office address in North Carolina
  • Registered agent name and address
  • Your role as organizer, member, or both

No Ongoing Member Minimums

North Carolina imposes no minimum-member requirement for continued operation. Your single-member LLC remains in good standing indefinitely without adding members, making this structure ideal for solo entrepreneurs, freelancers, and small business owners seeking liability protection.

Additional Considerations

Name Registration: Your LLC name must be distinguishable from other registered entities in North Carolina. Search existing names at https://www.sosnc.gov/online_services/search/by_title/search_Business_Registration before filing.

DBA Filing: If you operate under a name different from your LLC's legal name, file an assumed business name (DBA) with the Register of Deeds in your county and the statewide database.

Registered Agent: Even as a sole member, you must designate a registered agent with a North Carolina street address. This can be yourself or a third party.
