Registered Agent Requirements Under New Jersey Law
Your registered agent must satisfy three core requirements under N.J.S.A. 42:2C-14 and N.J.S.A. 42:2C-15.
Physical New Jersey Street Address
The registered office must be located at a street address in New Jersey. You cannot use a P.O. Box, mailbox service, or virtual address as your sole registered office. If you operate a physical business location in New Jersey, you can use that address. If you do not have a physical presence, you must rent a mailbox at a commercial address or use a registered agent service with a New Jersey office.
Availability During Business Hours
Your registered agent must be available to accept documents during normal business hours. Consent to Serve

How to Name a Registered Agent in Your Certificate of Formation
When you file your certificate of formation with the New Jersey Department of the Treasury, Division of Revenue and Enterprise Services, you must provide the registered agent's name and the registered office street address. The filing packet requires the full legal name of the registered agent (individual or business entity), the complete street address of the registered office (no P.O. Box alone), and the city, state, and ZIP code.
If your agent is an individual, use their full legal name as it appears on their identification. If your agent is a business entity, use the exact legal name under which it is registered in New Jersey. The address must be a physical location where documents can be delivered and received.

Changing Your Registered Agent in New Jersey
You can change your registered agent or registered office address at any time by filing a Certificate of Change of Registered Office and/or Registered Agent (Form L-122) with the New Jersey Department of the Treasury. You must file this form if you replace your current agent with a new individual or business entity, move your registered office to a different New Jersey street address, or change both the agent and the office address simultaneously.
Form L-122 Requirements
Form L-122 must include your LLC's legal name and New Jersey formation number, the current registered agent's name and address, the new registered agent's name and address (if changing the agent), the new registered office address (if changing the address), the signature of an authorized representative of the LLC, and the signature of the new registered agent, consenting to the appointment.
The new agent's signature is mandatory. You cannot file a change of agent without the agent's written consent. If you are changing the address only, the current agent must sign. If you are changing both the agent and the address, the new agent must sign.
Filing the Change Form
You can file Form L-122 online through the New Jersey portal or by mail. Mail filings should be sent to PO Box 308, Trenton, NJ 08646-0308. The state processes changes within 5–10 business days. Once the change is approved, the new agent information appears in the public business records.

Maintaining Compliance After Appointing Your Registered Agent
